Shingala Digital Solutions Pvt Ltd WA Engine – Terms and Conditions (Short) Last Updated: May 31, 2025 Welcome to WA Engine, a WhatsApp Business API (WABA) platform operated by Shingala Digital Solutions Pvt Ltd (“we,” “us,” “our”). By accessing or using WA Engine (https://waengine.in) and its services, you (“you,” “customer”) agree to these Terms. If you do not agree, do not use WA Engine. 1. Services & Eligibility Services: WA Engine provides WABA onboarding, messaging templates, dashboard analytics, and related integrations. Eligibility: You must be 18+ and legally able to bind your organization. If registering on behalf of a company, you warrant you have full authority to do so. 2. Account Registration Accurate Information: You agree to provide and maintain accurate business details (name, email, phone, company). Credentials: You are responsible for safeguarding your login credentials, API keys, and any activity under your account. Report unauthorized access immediately. 3. Subscription & Payment Plans & Fees: We offer defined subscription tiers (e.g., Starter, Growth, Premium) with clear pricing and messaging limits. All fees are in INR plus applicable GST. Billing Cycle: Subscriptions auto-renew at the end of each billing period unless canceled at least 48 hours before renewal. You approve recurring charges to your saved payment method. Refunds & Downgrades: All payments are non-refundable and non-transferable. Upgrades take effect immediately (prorated), downgrades apply at the next renewal. 4. Acceptable Use Compliance: You must adhere to Meta’s WABA policies, India’s TCCCPR regulations, and all applicable laws (e.g., IT Act 2000). Opt-In/Opt-Out: Only send messages to contacts who have explicitly opted in. Honor all opt-out requests (e.g., STOP). Prohibited Content: No spam, unlawful or abusive content, phishing, hate speech, or copyrighted material without permission. Misuse may result in immediate suspension. 5. Intellectual Property Our IP: WA Engine software, trademarks, logos, and documentation are owned exclusively by Shingala Digital Solutions Pvt Ltd. Your Content: You retain ownership of messages and media you send. By submitting content, you grant us a limited license to store and transmit it on your behalf. 6. Data & Privacy Privacy Policy: Our separate Privacy Policy details data collection, use, retention, and your rights. Review it at https://waengine.in/privacy. Third-Party Tools: Enabling integrations (e.g., payment gateways, CRM apps) means sharing data with trusted partners under their privacy terms. 7. Termination & Suspension Termination by You: Cancel your subscription via the WA Engine dashboard; cancellation takes effect at period end—no refunds. Termination by Us: We may suspend or terminate your account if you breach these Terms, engage in prohibited activity, or fail to pay outstanding dues. Upon termination, you lose all access; data will be erased within 30 days unless otherwise required by law. 8. Limitation of Liability WA Engine is provided “as is.” We do not guarantee message delivery or uninterrupted service. To the fullest extent permitted by law, Shingala Digital Solutions Pvt Ltd’s liability is limited to the subscription fees you paid in the 12 months preceding any claim. We are not liable for indirect or consequential damages (loss of revenue, data, goodwill). 9. Governing Law & Dispute Resolution Governing Law: These Terms are governed by Indian law, with disputes settled in courts of Surat, Gujarat. Informal Resolution: You agree first to attempt in-good-faith negotiation for 30 days. Arbitration: If unresolved, disputes go to binding arbitration under the Arbitration and Conciliation Act, 1996, in Surat, Gujarat, before a sole arbitrator appointed per BCAS rules. Each party bears its own costs. 10. Changes to Terms We may update these Terms at any time. We’ll post the “Last Updated” date. Material changes will be notified via email (if you have an active WA Engine account) or a prominent notice on our Site. Continued use after updates indicates your acceptance. 11.
